Brian Walters is the managing member at Walters Dunn. His primary practice focus is corporate and business law nationally and internationally. Mr. Walters represents business owners including physicians, dentists, attorneys, architects, CPAs, restaurateurs, bar and tavern owners, pharmacists, and information technology companies, in forming, organizing, and restructuring their businesses. He also assists business owners with selling and acquiring businesses and raising funds for expansion of existing businesses.

Specific Matters of Representation:

  • Acquisition of internet businesses involving complex earnout provisions, seller financing
  • Multi-state private securities offerings involving accredited and unaccredited investors
  • Negotiating the removal of key personnel from existing businesses, whether voluntary or involuntary
  • Drafting noncompetition, nonsolicitation, and nondisparagement agreements, shareholder agreements, bylaws, company agreements
  • Assisting existing businesses with corporate clean-up, amendments, and restatements of corporate documents
  • Formation of nonprofit entities, cooperative associations, professional entities
  • Providing testimony at capitol regarding proposed modifications to existing laws
  • Litigation of multimillion dollar general partnership equity claim involving oral partnership agreement
  • Noncompetition agreement dispute resolution in favor of defendant, plaintiff dropped all claims
  • Corporate start-ups and syndication
